Main purpose of role:The Commercial Counsel based in EMEA is a leadership role responsible for providing strategic legal counsel and guidance on commercial matters to the organization. Reporting directly to the Global General Counsel, the Commercial Counsel will collaborate with various stakeholders across the company to ensure legal compliance, risk mitigation, and general legal support for commercial operations, especially in Europe. This individual will also be part of the Global Legal Team and may work on various strategic global projects and initiatives that impact the entire company.
Key Accountabilities and Responsibilities:Commercial Legal Strategy: Develop and implement the company's commercial legal strategy in alignment with overall business objectives. Provide innovative solutions and proactive legal advice to support business growth while managing associated legal risks. Be an expert on German laws and practices while supporting the EMEA region. Contract Review and Negotiation: Support the review, negotiation, and drafting of a wide range of commercial agreements, including but not limited to, sales, distribution, and supply contracts.Compliance and Risk Management: Ensure the organization's compliance with relevant laws, regulations, and industry standards. Identify potential legal risks and develop strategies to mitigate them effectively.Business Partner Collaboration: Collaborate closely with various internal stakeholders, such as sales, marketing, finance, and operations teams, to provide legal guidance and ensure legal support is integrated into business decisions and initiatives.Dispute Resolution: Develop strategies to resolve challenges efficiently and in the company's best interest.Regulatory Compliance: Stay up to date with relevant laws, regulations, and industry developments affecting the company's commercial activities. Implement compliance programs and training as necessary.External Relations: Represent the company in negotiations with external parties, including customers and government agencies.
Candidate Profile (Education/Competencies Required/Functional Skills/Technical Skills):Degree from an accredited law school and active membership in a relevant Bar.Ability to understand and speak the German language as well as having practiced law in Germany.6+ years of experience as a practicing attorney, with a focus on international commercial law and contract negotiation.At least 3 years of experience within an in-house legal department.Expertise in GDPR and data privacy a plus.High degree of independence, initiative and decisiveness but also desire to be challenged and think outside the box.Excellent interpersonal and communication skills and the ability to act as Business Partner to operations and senior management.Great business judgment especially in ambiguous situations.Ability to prioritize in a fast-moving environment.Organization – ability to handle multiple projects in a fast-paced environment and bringing those projects to completion on a timely basis.Problem Solver – ability to identify and analyze issues, propose and roll out relevant solutions.
